The Role of the Non Executive

What is a Non-Executive Director?

A Non-Executive Director is a member of the Board of Directors of a Company who is not an employee or part of the Executive Team.  Non-Executives are not involved in the day-to-day running of business but monitor the executive activity and contribute to the development of strategy. They are differentiated from Executive Directors, who are members of the Board also serving as Senior Managers of the Company.

Non-Executive Directors should provide independent views, scrutiny and challenge on:

  • Strategic Development of the business
  • Resources
  • Performance of managements in meeting goals & objectives
  • Appointments
  • Standards of conduct
  • Good governance

To become a Non Executive Director:

  • You should have relevant experience and it is often helpful to have expertise in the required sector.
  • You must complement the organisation's current board and culture … but still be able to challenge the board and management effectively.
  • You need to be able to make the required time commitment.
  • You need to be willing to learn so that you can understand the issues and challenges facing the organisation.

What makes a good Non-Executive Director? 

Successful Non-Executive Directors are likely to have a number of key skills or attributes which they bring to the role, which are likely to include:

  • The right character -  Non-Executives should act with integrity and independence and in the best interests of the Company.
  • Experience and authority - Relevant business and/or life experience enable the Non-Executive gain respect, be ambassadors for the business and make a positive contribute to the running of the organisation.
  • Sharp mind, strategic thinking and good judgement - Non-Executive Directors need to be able to see the wood for the trees.  Thinking strategically and exercising judgement will be essential.
  • Able to see the big picture - Every Non-Executive needs to understand the context within which the business operates.  They need energy and drive to get to grips with the details and keep up to date with developments.
  • Team player - Mutual respect, teamwork and good interpersonal skills are pre-requisites of a successful Non-Executive.
  • Communication skills - Non-Executives need to communicate effectively and participate in debates, as well as liaising with staff and professional advisers.
  • Enjoying a challenge - Non-Executive Directors should enjoy tackling problems and should not be afraid to make difficult decisions.
  • Focused and prepared - Non-Executives need to focus on the business and be well briefed before attending meetings.
